Terms of Use
Effective 27 September 2026
These terms apply to everyone who signs in to EC Portal. They sit beside your engagement letter with Emplifi Consulting, which governs the professional services; these terms govern the portal.
1. What the portal is
EC Portal (the “portal”) is the client portal of Emplifi Consulting (“Emplifi”, “we”, “us”). It is where the companies we work with (“clients”) see what a study needs from them, upload the documents asked for, follow each study’s progress, and exchange messages with their engagement team.
The portal supports the professional services described in your engagement letter. The engagement letter governs those services, their fees and deliverables; these terms govern your use of the portal. Nothing shown in the portal is tax, legal or financial advice on its own — the study, its report and any advice come from your engagement team under the engagement letter.
2. Who may use it
Access is by invitation. An account is enrolled by Emplifi on the client companies it may see; registering alone gives no access. You may use the portal only on behalf of a client that has engaged Emplifi, and only for that client’s studies.
You must be at least 18 and authorised by the client to act on its behalf, including to upload its records and to see what the portal shows.
3. Your account
Keep your password and any sign-in method (including Google sign-in) to yourself. Everything done with your account is treated as done by you. Tell your engagement lead at once if you believe your account has been used by someone else, or if a person with access leaves the client.
Emplifi may deactivate an account or withdraw its enrolment at any time — for example when an engagement ends, at the client’s request, or to protect the portal or its users. Deactivation does not affect the engagement letter.
4. Documents and messages
The documents you upload — payroll and wage detail, project lists and hours, contracts, financial statements, tax returns and the like — remain the client’s. By uploading them you confirm the client may share them with us, and you give Emplifi permission to store, scan, read, copy and use them to perform the engagement and to keep the records the law and our professional standards require.
Upload only what is asked for, and make sure it is accurate and complete. Do not upload material you have no right to share, and never upload software, scripts or files meant to harm a system. Every upload is scanned before it can be downloaded; a file that fails the scan is refused.
Messages you write in the portal are read by the engagement team, and by others at the client who are enrolled on the same work. Keep them to the engagement. A message is not a substitute for a signed instruction where the engagement letter requires one.
5. Acceptable use
- Do not try to see, download or change anything the portal has not shown you, or to reach another client’s information.
- Do not probe, scan or test the portal’s security, or attempt to bypass a limit, a rate limit or a scan.
- Do not copy the portal’s pages, code or brand, or use automated tools to harvest its content.
- Do not upload unlawful, infringing or harmful material, or use the portal to harass anyone.
- Do not share your sign-in with anyone, including colleagues; ask your engagement lead to enrol them instead.
6. Availability and changes
We aim to keep the portal available and current, but it is provided as it is and as available. It may be unavailable for maintenance, updates or reasons outside our control, and we may change or withdraw features. Keep your own copies of documents you upload; the portal is not your system of record.
We may update these terms. The effective date at the top changes when we do, and continuing to use the portal after that date is your agreement to the updated terms.
7. Intellectual property
The portal, its design, code, text and brand belong to Emplifi or its licensors. The client keeps ownership of the documents and information it provides. The study report and other deliverables are governed by the engagement letter.
8. Liability
To the fullest extent the law allows, Emplifi is not liable for indirect, incidental, special or consequential loss arising from use of, or inability to use, the portal, including loss of data, profit or business — and Emplifi’s total liability arising from the portal itself is limited to the fees paid for the engagement in the twelve months before the claim. This section does not limit any liability that cannot be limited by law, and it does not change the liability provisions of the engagement letter, which govern the professional services.
9. Privacy
How the portal handles personal information, and what we keep and for how long, is set out in the Privacy Notice, which forms part of these terms.
10. Governing law
These terms are governed by the laws of the State of Arizona, without regard to its conflict-of-law rules, and any dispute about the portal that the parties cannot resolve between themselves is brought in the courts of Arizona — unless the engagement letter provides otherwise, in which case the engagement letter prevails.
11. Contact
Questions about these terms go to your Emplifi engagement lead, or to Emplifi Consulting through the contact details on emplificonsulting.com.
